Requirements

What Quebec requires

Quebec’s Business Corporations Act is among Canada’s most flexible: one director, no residency, no minimum capital. The catch is language.

French corporate nameRequiredGeneric + distinctive + legal element (“inc.”, “ltée”). A version in another language can coexist for use outside Quebec. Misleading or reserved terms are refused.
At least one directorMinimum 1Individual aged 18+, not under tutorship, not an undischarged bankrupt. No citizenship or residency requirement.
Head office in QuebecRequiredCivic address in Quebec (no P.O. box alone). Non-residents use our registered office, included in the Non-resident plan.
Share capitalNo minimumUnlimited no-par-value shares by default. We suggest two classes (common and preferred) for tax flexibility.
Initial declarationWithin 60 daysFiled with the REQ after incorporation (directors, officers, main shareholders, establishments). We file it with the articles.
Annual updateYearlyAnnual updating declaration with the REQ, fee [amount]. Watch and Compliance handle it with 60 / 30 / 7-day reminders.

  2. Step 2People and officeDirectors, officers, shareholders. Quebec head office with an “Incorpo address” option.QC-specific: no residency required; initial declaration pre-filled.
  3. Step 3Review and signTotal shown: our fee + $397. E-signature, payment, then human review.QC-specific: articles drafted in French; English courtesy copy available.
  4. Step 4REQ filing, NEQ, QSTSame-day filing. Certificate and NEQ in 1–3 days; GST and QST requested from Revenu Québec.QC-specific: QST comes on top of GST; one form for both.

Quebec FAQ

Reviewed by David Roy, lawyer (Barreau du Québec).

Can my name be in English in Quebec?
It needs a French version. You can register an English version for use outside Quebec, but signage and documents in Quebec use the French one. A coined brand name (e.g. “Zypher”) is usually fine.
I live in France: can I be the sole director?
Yes. Quebec law has no residency rule. You need a Quebec head office address, provided in the Non-resident plan ($699).
Quebec or federal if I’m in Montreal?
Quebec if your clients are mostly in Quebec or your directors live abroad. Federal if your name must be protected nationwide; you’d also register with the REQ ([amount]).
What is the NEQ?
Quebec’s enterprise number, assigned by the REQ on registration. Separate from the CRA’s federal business number (BN); you’ll have both.
When do I register for GST and QST?
Once taxable sales exceed $30,000 over four consecutive quarters, or voluntarily earlier to recover taxes paid. Included from Complete.
Is the $397 refundable if the REQ rejects the name?
No, it’s the registry’s fee. That’s why we check the name before filing and review every file. If it’s still rejected, we fix and refile at no extra fee.
